Elicio Therapeutics Grants Inducement Stock Options to New Employees

Elicio Therapeutics granted inducement stock options to new employees, with one grant of 1,600 options at $12.16 per share and another of 30,300 options at $8.59 per share. The clinical-stage biotech company is developing novel immunotherapies targeting mKRAS-positive cancers, with its ELI-002 program showing promising Phase 1 results including 16.3-month median recurrence-free survival.

Elicio Therapeutics, a clinical-stage biotechnology company developing novel immunotherapies for cancer treatment, has granted inducement stock options to new employees as part of their employment agreements. The company announced two separate grants under Nasdaq Listing Rule 5635(c)(4), with one grant of 1,600 options at $12.16 per share on March 16, 2026, and another grant of 30,300 options at $8.59 per share on February 17, 2026.

Both grants were approved by the Compensation Committee of Elicio's Board of Directors and granted under the Elicio Therapeutics, Inc. 2024 Inducement Incentive Award Plan. The options vest over four years, with 25 percent of the shares vesting on the first anniversary of the employee's start date, and the remainder vesting ratably at the end of each subsequent month thereafter, subject to continued employment.

Elicio Therapeutics is advancing novel immunotherapies for the treatment of high-prevalence cancers, including mKRAS-positive pancreatic and colorectal cancers. The company's Amphiphile technology aims to enhance the education, activation and amplification of cancer-specific T cells relative to conventional immunotherapy strategies, with the goal of promoting durable cancer immunosurveillance in patients.

The company's ELI-002 lead program is an off-the-shelf immunotherapy candidate targeting the most common KRAS mutations, which drives approximately 25% of all solid tumors. ELI-002 is being studied in an ongoing, randomized clinical trial in patients with mKRAS-positive pancreatic ductal adenocarcinoma who completed standard therapy but remain at high risk of relapse. The program has also been studied in patients with mKRAS-positive colorectal cancer in Phase 1 studies.

Updated AMPLIFY-201 Phase 1 data for pancreatic ductal adenocarcinoma and colorectal cancer was presented at the ESMO Immuno-Oncology Congress 2024 and included a 16.3-month median recurrence-free survival and 28.9-month median overall survival for the full study population. Elicio intends to expand ELI-002 clinical development not only for treatment in adjuvant pancreatic ductal adenocarcinoma, but also in neoadjuvant and metastatic settings, and for other mKRAS-positive cancers.

The company's pipeline includes additional off-the-shelf therapeutic cancer immunotherapy candidates, including ELI-007 and ELI-008, that target BRAF-driven cancers and p53 hotspot mutations, respectively. Off-the-shelf immunotherapy approaches have the potential benefits of low cost, rapid commercial scale manufacturing, and rapid availability of drug to patients especially in neo-adjuvant settings and for prophylaxis in high-risk patients.
